Avoid Litigation and Resolve

Your Legal Disputes

Entities seeking guidance from DR can receive protection for decisions which need to be made “reasonably”, “in good faith”, using “prudent business judgment” or “to not be unreasonably withheld.” Simply put, DR provides definitions, specificity, clarity and guidance on if these vague or ambiguous actions are appropriate, reasonable, in good faith, using the prudent business judgment rule or if consent is being unreasonably withheld.

Oferring Two Services To Help

Decision Resolution, LLC (“DR”) provides an alternative dispute resolution method intended to reduce and in cases eliminate the likelihood of litigation before the decision is made.

DR provides reasoned recommendations to decision makers as to whether a proposed action is perceived by DR to be reasonable, in good faith or in compliance with prudent business judgment.

BURDEN SHIFTING CONTRACTUAL PROTECTIONS FOR YOUR DECISIONS RECOMMENDED BY US

You may include terms in your By-Laws, Operating Agreement, or Contract that a recommendation issued by DR reflecting a proposed action is reasonable, in good faith or consistent with prudent business judgment creates a rebuttable presumption that the decision is indeed reasonable, in good faith or consistent with prudent business judgment. We have an insert with sample language to insert into your forms.

PERCEPTION OF DECISIONS RECOMMENDED BY US

If you do not have a provision in your By-Laws, Operating Agreement or Contract, the recommendations from DR are intended to provide independent consideration of an issue by a third party that has no conflicts of interest. The optics of obtaining the recommendation from a third party having no conflicts of interest has valuable perception.

Recommendations Can Apply To a Number of Situations

• New entities
• Existing entities
• Trustee and other fiduciaries
• HOAs
• Insurance company
• Use of intellectual property
• Boards of Directors
• Managers of Limited Liability Companies
• Officers or directors of Corporations
• General partners of Limited Partnerships
• Lenders
• Contractors
